Code of Conduct Effective Date: 7 November 2025 Last Updated: 7 November 2025 Goodsource is committed to creating a trusted, transparent, and socially responsible environment where social enterprises, procurement managers, and public or private sector partners can collaborate with integrity and impact. This Code of Conduct outlines the standards of behaviour and responsibility expected from all users of the Goodsource Platform (“the Platform”). By registering or using the Platform, you agree to adhere to these principles.

1. Purpose of This Code The purpose of this Code is to ensure that all interactions and activities on the Goodsource Platform:
● Promote fairness, accountability, and ethical conduct.
● Encourage transparency and trust between users.
● Uphold the integrity of the Social Impact Score and verification process.
● Protect the interests of all platform participants and beneficiaries.

2. Applicability
This Code applies to:
● Social enterprises and impact-driven organisations registered on the platform.
● Procurement leads, agencies, and business users sourcing from verified enterprises.
● All staff, representatives, or contractors acting on behalf of any registered organisation.

3. Professional Conduct
All users must:
● Conduct themselves honestly, respectfully, and professionally.
● Provide accurate and truthful information about their organisation, impact activities, and procurement needs.
● Avoid misleading, defamatory, or fraudulent representations.
● Engage constructively and courteously in all communications within the Platform.

4. Integrity and Transparency
Users are required to:
● Disclose any potential conflicts of interest in their dealings on the Platform.
● Refrain from submitting false, exaggerated, or unverifiable claims of social impact.
● Maintain transparency in transactions, bids, tenders, and partnerships formed through Goodsource.
● Respect the verification process for the Social Impact Score and provide documentation honestly and promptly when requested.

5. Data Responsibility
All users must:
● Protect the confidentiality of sensitive information shared on the Platform.
● Use data obtained through Goodsource only for legitimate business or social procurement purposes.
● Comply with the UK GDPR, Data Protection Act 2018, and Goodsource’s Privacy Policy.
● Avoid unauthorised access, distribution, or misuse of another user’s data.

6. Fair and Inclusive Engagement
Goodsource encourages an inclusive community where every organisation is valued. Users should:
● Treat others with dignity and respect, regardless of size, location, or social mission.
● Avoid discriminatory or exclusionary practices on the basis of gender, ethnicity, disability, religion, age, or background.
● Engage with enterprises and procurement leads in ways that promote equal opportunity and genuine social value.

7. Responsible Use of Intelligent Matching
The Goodsource Platform uses automated -powered matching to connect enterprises and buyers based on verified data. Users agree to:
● Use Intelligent generated matches and recommendations responsibly.
● Not attempt to manipulate AI scoring, algorithms, or system data.
● Report any suspected misuse, errors, or unfair practices immediately to the Goodsource Support Team.

8. Compliance with Laws and Platform Rules
Users must:
● Adhere to all relevant UK laws, procurement standards, and ethical business practices.
● Comply with Goodsource’s Terms and Conditions, Privacy Policy, and all platform-specific guidelines.
● Avoid using the Platform for illegal, unethical, or harmful purposes.

9. Prohibited Behaviour
The following are strictly prohibited on the Goodsource Platform:
● Submitting false company information or fraudulent impact documentation.
● Harassment, discrimination, or abusive language towards other users.
● Uploading malicious content, viruses, or unauthorised software.
● Attempting to reverse-engineer or disrupt platform functionality.
● Misuse of data obtained from the platform for spam, marketing, or solicitation.

10. Breach of Code
Goodsource reserves the right to investigate and take action if a user breaches this Code of Conduct. Actions may include:
● Warning or formal notice.
● Suspension or permanent removal from the Platform.
● Revocation of verified Social Impact Score.
● Reporting to relevant authorities if a legal breach occurs.
Decisions made following an investigation will be based on fairness, transparency, and supporting evidence.

11. Reporting Concerns
Users are encouraged to report any breach, unethical conduct, or misuse of the platform to:

Reports will be handled confidentially, and Goodsource will ensure that no user faces retaliation for reporting concerns made in good faith.

12. Commitment to Continuous Improvement Goodsource is committed to fostering a safe, transparent, and high-impact environment. We welcome feedback and suggestions from users to strengthen our ethical standards and improve platform governance.

13. Acknowledgement By continuing to use the Platform, you acknowledge that you have read, understood, and agreed to this Code of Conduct and accept that non-compliance may result in disciplinary action.
